IndoExchange is a news and information service from Indonesia Net Exchange (PT. Sanggrahamas Dipta). By completing the registration process, clicking the "I Agree" button, and using IndoExchange, you indicate you agreement to be bound by all of the terms in this Agreement. You may print and keep a copy of this Agreement. Indonesia Net Exchange may change the terms of this Agreement at any time by notification to you by e-mail or on-line postings. The changes also will appear in this document, which you can access at any time by selecting (Help) followed by (Subscription Information). If you agree to be bound by the changes, you must click on the "I Agree" button at the end of the Agreement. If you do not agree to the changes, you may cancel your subscription. If you do not indicate your agreement, but continue using IndoExchange after our notification to you of the changes, you are deemed to agree to be bound by the changes.

IndoExchange may store the information you provided as part of the registration process, and provide aggregate statistical information about IndoExchange subscribers to other party. However, no one other than Indonesia Net Exchange will receive your name, address, phone number, e-mail address, or other specific personal identifying information, without your express prior consent.

Copyright and Limitations on Use

The information available through IndoExchange is our property and is protected by copyright and other intellectual property laws. You agree not to make any change or modification to the information.

Information received through IndoExchange may be displayed, reformatted and printed for personal, non-commercial use only, but not to be reproduced, retransmitted, distributed, disseminated, sold, published, broadcasted or circulated to anyone, or posted in newsgroups, mail lists or electronic bulletin boards, without our express prior written consent.

IndoExchange may permit access to reports and/or databases based in whole or in part on information or analytical or statistical data which is proprietary to third parties, and third party Internet web sites via "hyperlinks". We do not warrant, and assume no responsibility for, the accuracy, completeness, or content of any information which is proprietary to or prepared or derived from any third party source or information contained in any third party Internet or other web site which is available via a "hyperlink". IndoExchange may include facts, views, opinions and recommendations of individuals and organizations deemed of interest. We do not guarantee the accuracy, completeness or timeliness of, or otherwise endorse, these views, opinions or recommendations.

IndoExchange is not intended to provide investment, account, legal or tax advice, or advocate the purchase or sale of any security or investment.

IndoExchange does not provide any capability of executing any transactions, and the electronic mail communication feature is not to be used to instruct transactions.

We make no warranty, express or implied, with respect to IndoExchange or the information contained therein.

Neither us nor our directors, employees, shareholders, affiliates, agents and licensors shall be liable to you or anyone else for any loss or injury resulting directly or indirectly from the use of IndoExchange, caused in whole or in part by its negligence or contingencies beyond its control in procuring, compiling, interpreting, reporting or delivering any information through IndoExchange.

We and our directors, employees, shareholders, affiliates, agents or licensors will be responsible for its acts or omissions hereunder only to the extent that such acts or omissions constitute gross negligence or willful misconduct. Under no circumstances shall we and our directors, employees, shareholders, affiliates, agents or licensors be liable for special, indirect, incidental, consequential, or punitive damages. In any event, the liability of ourselves and our directors, employees, shareholders, affiliates, agents or licensors shall not exceed the amount paid by you to us for your subscription to IndoExchange.

Indemnity

You agree to indemnify us and our directors, employees, shareholders, affiliates, agents or licensors ("Indemnified Parties") and hold any of the Indemnified Parties harmless from and against (a) any and all actions, claims, suits, fines and penalties arising out of the Indemnified Parties' having performed any of their respective obligations hereunder except to the extent of the Indemnified Parties' gross negligence or willful misconduct, and (b) any damages, costs, expenses (including legal fees and disbursements) losses or liabilities relating to any such actions, claims, suite, fines or penalties or to any breach of this Agreement by you.

Termination

We may terminate your subscription to, or discontinue or change IndoExchange without notice. You may always terminate your subscription at any time but you must notify us by telephone or electronic mail of your decision to terminate your subscription.

This Agreement may be terminated by either yourself or ourselves at any time upon written notice, except that such notice requirement shall not apply in the event of your breach of this Agreement. No such termination will affect any rights or obligations of either party which have accrued prior to the termination.

Fees and Charges

At the present time, there are no fees imposed by IndoExchange for your subscription. In the future, IndoExchange may impose a fee and/or change on one or more features accessed though IndoExchange, in which event, you will be provided with a schedule and/or notice of the applicable fees and/or charges. You will, however, be responsible for any telecommunications charges and any other charges imposed by your Internet access provider which you incur in accessing IndoExchange and any charges related thereto.

Miscellaneous

You may not assign your rights or obligations to anyone. Nothing herein is intended to confer any right, remedy or claim upon any person, firm or corporation other than yourself and ourselves. If any provision in this Agreement is invalid or unenforceable under any applicable law, the remaining provisions will continue in full force and effect. This Agreement, the rights and obligations thereunder, and all actions contemplated thereby shall be governed by the laws of the Republic of Indonesia.
